Our Code of Conduct and General Business Principles underpin everything we do and are the foundation of our business.

Reputation is our most important asset. We must always act with the highest standards of corporate behaviour towards our employees, our customers, those whom we do business and our shareholders.

Anti-bribery and corruption

Vivo Energy has a zero tolerance approach to illegal activity and does not tolerate any form of bribery, facilitation payments, insider trading, market abuse, fraud or money laundering.

We provide mandatory employee training on topics such as Anti-bribery and corruption; Anti-money laundering; our Code of Conduct; conflicts of interest and financial crime. Courses are conducted on a bi-annual basis for all employees and are tailored to specifically address applicable scenarios, with training completion monitored by our Ethics & Compliance office.

We are proud to have a multi-site ISO 37001 Anti-bribery management systems certification, covering all of our markets, and were the first African business in our industry to obtain this certification. In addition, each employee is required to submit a Conflict of Interest declaration every year, confirming their understanding of our compliance policies.

Whistleblowing helpline

Reporting suspected violations of the law or Vivo Energy’s General Business Principles is essential to protecting our reputation and the value of our brand.

To ensure all concerns are addressed appropriately, Vivo Energy has engaged an independent firm, AAB People, to operate a global helpline. This service receives reports of potential violations of laws, regulations, Vivo Energy’s Code of Conduct, and General Business Principles.

AAB People provide a secure, anonymous platform that enables individuals to report unethical behaviour, misconduct, or malpractice. Your identity will remain confidential unless you choose to disclose it. As specialising in whistleblowing solutions, AAB People foster a safe, supportive environment that encourages individuals to speak up without fear of retaliation or victimisation.

The helpline is accessible 24 hours a day, 365 days a year, and supports 24 languages including English, French, Portuguese, Dutch, and Arabic. The helpline is available to all Vivo Energy employees, contract staff, and third parties—such as customers, suppliers, and agents—who have a business relationship with Vivo Energy and wish to report wrongdoing or raise concerns. Once a report is submitted, it is reviewed by Vivo Energy’s Chief Legal and Compliance Officer, Head of Internal Audit, and Head of Forensics. If necessary, an investigation team will be assigned to address the matter appropriately. Below is a flow chart of the process.

Human rights

We strongly support the elimination of all forms of modern slavery. Such exploitation is entirely at odds with our core values of honesty, integrity and respect for people. These values are crucial to our success and growth, and to achieving our vision of becoming Africa’s most respected energy business.

Respect for human rights is embedded in our Code of Conduct and General Business Principles, which recognise a responsibility to conduct business as responsible corporate members of society and to support fundamental human rights in line with the legitimate role of business. Both the Code and the Business Principles explicitly address our commitment to combatting modern slavery and human trafficking.

Our anonymous whistleblowing helpline contains a specific reporting category for raising concerns in relation to any form of unfair labour practices and potential human rights violations. Any report in relation to these categories is directly reported to Vivo Energy’s Head of Ethics & Compliance and the Vivo Energy Chief Human Resources Officer.

We will continue to seek ways in which we might improve our capacity to identify and deal with modern slavery risks in all aspects of our business and supply chains.
